1. These terms

These terms govern your use of thiqwave.com, its subdomains (including docs.thiqwave.com) and any page, environment or interface that links to these terms (together, the "Site"). The Site is operated by Thiqwave, Inc., a Delaware corporation with its principal address at 2261 Market Street STE 78441, San Francisco, CA 94114, United States ("Thiqwave", "we", "us"). References to Thiqwave include our affiliates where the context allows. By using the Site you agree to these terms. If you do not agree, do not use the Site.

2. What these terms do not cover

These terms cover the Site only. Access to and use of the Thiqwave platform, application programming interfaces, sandbox or test environments, and any related service (the "Services") is governed by a separate written agreement between Thiqwave and the customer, which prevails over these terms in relation to the Services. Developer documentation published on the Site is provided for information only and does not itself grant access to, or any right to use, the Services.

3. Thiqwave is a technology provider

Thiqwave is a software company. We design, build and operate technology. We are not a bank, payment service provider, money services business, virtual asset service provider, custodian, exchange or other licensed financial institution, and we are not licensed, authorised or registered as any of these in any jurisdiction. Where the Services involve regulated activity, including the holding, transmission, exchange or custody of funds or digital assets, that activity is performed by third-party partners that hold the licences required in the relevant jurisdictions. Thiqwave does not itself accept, hold, transmit, exchange or take custody of client funds or digital assets.

Thiqwave is actively pursuing regulatory authorisations relevant to its business. That work is ongoing and its outcome is not certain. Nothing on the Site is a statement that any authorisation has been applied for, granted or will be granted in any jurisdiction or within any timeframe, and you should not rely on any such expectation.

Information on the Site is provided for general information only. It is not an offer, solicitation or invitation to acquire, subscribe for or deal in any product, service, security or financial instrument in any jurisdiction where doing so would be unlawful or would require a licence, registration or authorisation that has not been obtained. The Site is accessible worldwide, but the Services are made available only to businesses in jurisdictions where they can lawfully be provided, as determined by Thiqwave and its partners. Availability in any particular jurisdiction is not implied.

4. No advice

Nothing on this site is financial, investment, legal, tax, accounting or regulatory advice, and it should not be relied on as a substitute for professional advice specific to your circumstances. Descriptions of regulation are our understanding at the time of writing and regulation changes.

5. Forward-looking statements

Some statements on the Site describe intentions, expectations or plans, including in relation to regulatory authorisations, corporate structure, partners, product capability, supported currencies, supported chains, corridors, pricing and timing. These are forward-looking and depend on factors outside our control, including regulatory outcomes and the availability of banking and liquidity partners. They are not commitments and they may change.

6. Early access and access requests

Submitting an access request does not create a contract, an obligation to onboard you, or an entitlement to any pricing, capability, corridor or timeline described on the Site. We may accept or decline any request at our discretion. Early access, pilot or beta terms, including any pricing described as locked or guaranteed, take effect only under a signed agreement and are subject to eligibility, verification and compliance checks. Information you submit must be accurate, and you confirm that you are authorised to submit it on behalf of the business you name.

7. Acceptable use

The Site is intended for businesses and for individuals aged 18 or over acting in a business capacity. You may use the site for lawful purposes only. You must not attempt to gain unauthorised access to the site or any connected system, interfere with its operation, introduce malicious code, scrape or extract content at a scale that burdens the site, or use the site to breach sanctions, anti-money laundering or other applicable law. You confirm that you are not, and are not acting on behalf of, any person or entity that is the subject of sanctions administered by the United Nations, the United States, the United Kingdom, the European Union or any other applicable authority, and that you are not located in a jurisdiction subject to comprehensive sanctions.

8. Intellectual property

The site and its content, including text, design, graphics, logos and the Thiqwave name and marks, are owned by Thiqwave or licensed to us, and are protected by intellectual property law. You may view and print pages for your own internal business use. You may not otherwise copy, republish, adapt or exploit the content commercially without our written permission. Names and marks of third parties are the property of their respective owners and are used for identification only.

9. Feedback and information you send us

If you send us ideas, suggestions or feedback about Thiqwave, the Site or the Services, we may use them without restriction or obligation to you. We may also use information you give us about your requirements, such as corridors, currencies and volumes, to shape our product, partner and corridor plans. Personal information is handled under our Privacy Policy.

10. Third-party links

The site may link to third-party sites and resources. We do not control them and we are not responsible for their content, their availability, or their handling of your information.

11. No warranty

We do not warrant that the Site or its content is appropriate or available for use in any particular jurisdiction, and you are responsible for compliance with local law if you access it from elsewhere. The site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including as to accuracy, completeness, fitness for a particular purpose, and uninterrupted or error-free operation.

12. Limitation of liability

To the fullest extent permitted by law, Thiqwave will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, data or goodwill, arising out of or in connection with your use of the Site, and our total aggregate liability arising out of or in connection with the Site, whether in contract, tort (including negligence) or otherwise, will not exceed one hundred US dollars (USD 100). Nothing in these terms excludes or limits liability for fraud or for anything that cannot be excluded or limited under applicable law.

13. Indemnity

You agree to indemnify Thiqwave against claims, losses and reasonable costs arising from your breach of these terms or your unlawful use of the site.

14. Changes

We may change these terms, and we may change, suspend or withdraw the site or any part of it, at any time. The date at the top of the page shows when these terms were last changed. Continued use of the site after a change means you accept the revised terms.

15. Governing law and disputes

These terms and any dispute arising out of them are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules, and the state and federal courts located in Delaware have exclusive jurisdiction. This does not affect any right you have under the mandatory law of your country of residence to bring proceedings there.

16. General

If any provision of these terms is held to be invalid or unenforceable, it will be modified to the minimum extent necessary and the remainder will continue in effect. These terms are the entire agreement between you and Thiqwave regarding the Site and replace any earlier terms. Our failure to enforce any provision is not a waiver of it. You may not assign your rights under these terms; we may assign ours to an affiliate or to a successor in connection with a merger, acquisition or reorganisation. You agree that we may communicate with you electronically. These terms are written in English; any translation is for convenience only.
